Hong Kong Private Company Compliance After Incorporation: NAR1, Business Registration and SCR

Company Secretary and Registered Office Requirements

A private local limited company must have at least one natural-person director and one company secretary.

Who can act as company secretary?

If the company secretary is a natural person, that person must ordinarily reside in Hong Kong. If the secretary is a body corporate, the Companies Registry states that the address of its registered or principal office should be in Hong Kong.

For a private company with only one director, that director must not also act as the company secretary.

NAR1: What It Is, When It Is Due and the Dormant-Company Exception

Form NAR1 is the annual return of a local private company. The Companies Registry states that it contains the company's particulars as at the return's made-up date, including the registered-office address, shareholders, directors and company secretary.

When is NAR1 due?

Except in the year of incorporation or re-domiciliation, a private company should deliver its annual return each year within 42 days after the anniversary of its incorporation or re-domiciliation. This window applies to private companies.

What happens if the annual return is late or defective?

For a local private company, a substantially higher registration fee is payable for late delivery of the annual return.

The Companies Registry also states that annual returns which have not been properly signed, or are not accompanied by the correct fee, are treated as unsatisfactory documents and will be rejected.

Dormant-company exception

Under section 663 of the Companies Ordinance, the requirement to deliver an annual return does not apply to a company that is dormant under the Ordinance. Dormancy is a formal statutory status, not a description of an inactive or low-revenue company.

NAR1 and Business Registration Renewal Are Separate

NAR1 and Business Registration renewal belong to different authorities and processes.

IRD states that, for a registered business, the Business Registration Office sends a renewal demand note approximately in the middle of the month before the commencement month of the renewal Business Registration Certificate.

Completing one process is not evidence that the other has been completed.

Significant Controllers Register and the Designated Representative

The Significant Controllers Register (SCR) applies more widely than to private companies. Companies incorporated in Hong Kong and re-domiciled companies, except listed companies, are required to identify the persons with significant control over them and maintain an SCR that is accessible to law-enforcement officers on demand.

Who can act as designated representative?

An in-scope company must designate at least one person to provide assistance relating to its SCR to a law-enforcement officer. The Companies Registry lists the eligible alternatives. The representative may be:

  • a shareholder, director or employee of the company who is a natural person resident in Hong Kong;
  • an accounting professional;
  • a legal professional; or
  • a person licensed to carry on a trust or company service provider business.

Whether the company secretary can take the role depends on whether that person falls within one of these categories.

Practical Annual Compliance Checklist

  1. Confirm the company-secretary arrangement. Check that the company still has a secretary and that the eligibility conditions are met.
  2. Keep the registered office in Hong Kong. A local limited company's registered office must be situated in Hong Kong.
  3. Track the NAR1 anniversary. File within 42 days after the anniversary, subject to the incorporation-year exception and any dormant-company treatment.
  4. Handle Business Registration renewal separately. Follow the IRD demand note for the certificate rather than treating NAR1 as the renewal.
  5. Maintain the SCR where the SCR rules apply. Identify significant controllers and keep the register available to law-enforcement officers.
  6. Confirm the designated representative. The representative must fall within one of the categories stated by the Companies Registry.
