# Hong Kong Company Bookkeeping, Audit and Profits Tax Filing: Annual Requirements

A Hong Kong company has separate obligations for accounting records, financial statements, audit where applicable, and BIR51 filing when the return is issued. This guide sets out how the four connect, where the main exception applies and how the filing deadline is fixed.

## Four Separate Obligations Make Up the Annual Compliance Cycle

A Hong Kong company's annual compliance involves four obligations. Completing one does not discharge another.

Keeping accounting records does not replace the annual financial statements. Preparing the financial statements does not complete the audit, and filing BIR51 is a separate tax step.

## Accounting Records Fall Under Two Separate Retention Rules

A Hong Kong company must keep the accounting records required by the Companies Ordinance. The Ordinance also requires the relevant accounting records, accounts and returns to be preserved for seven years after the end of the financial year to which the last entry or recorded matter relates.

The Inland Revenue Ordinance imposes a separate duty. As IRD's BIR51 notes describe it, each person carrying on a trade, profession or business in Hong Kong must keep sufficient records of income and expenditure, and of assets and liabilities, to enable assessable profits to be readily ascertained. IRD states that these records should be retained for at least seven years after the transactions to which they relate, or until the corporation is dissolved if that is sooner.

The two periods start from different points. A company should apply each rule to the records it covers rather than rely on a single seven-year rule for every document.

## Directors Must Prepare Financial Statements for Each Financial Year

Financial statements are the formal annual report prepared from the accounting records. The Companies Registry states that a company's directors must prepare financial statements for each financial year that comply with the relevant Companies Ordinance requirements.

If the company is a holding company, the financial statements must be consolidated financial statements, subject to the exceptions set out in the Ordinance. Whether a particular holding company falls within an exception depends on the statutory conditions and its ownership structure.

## A Reporting Exemption Does Not Remove the Audit Requirement

Some companies qualify for simplified reporting under the Companies Ordinance. That exemption does not by itself remove the audit requirement.

The Companies Registry states that audit of financial statements is required for all companies, including those falling within the reporting exemption, except companies dormant under section 447.

Reporting exemption is not audit exemption. A company that is small, or that qualifies for simplified reporting, should not assume that no audit is required.

### Dormant is a statutory status

Under section 447, the financial-statement and audit requirements do not apply to a company that is dormant. Dormant is a statutory status with conditions. It is not the same as being inactive, small or low-revenue.

Before relying on dormant-company treatment, a company should confirm that it satisfies the applicable statutory conditions.

## The BIR51 Deadline Runs From the Issue Date on the Return

BIR51 is IRD's Profits Tax Return for corporations. The return states that it must be completed and submitted, together with any required supplementary forms, within one month from its date of issue. Unless an applicable extension applies, the deadline is therefore set by the issue date printed on the return the company receives.

### Block Extension Scheme

IRD operates a Block Extension Scheme for Profits Tax Returns. From April 2026, tax representatives must submit block extension applications or notifications for their clients electronically, through the online block extension service on the Tax Representative Portal. An extension under the scheme is subject to its requirements and deadlines and is not automatic.

### Voluntary e-filing extension

IRD grants a further one-month extension on application where the taxpayer or its service provider voluntarily e-files the Profits Tax Return, subject to the applicable process.

A company should confirm that an extension route applies to its return before planning around the additional time.

## Accounts and Audit Work Should Start Before the Return Arrives

As of 30 September 2026, IRD's FAQ on BIR51 and BIR52 returns issued on or after 1 April 2026 advises taxpayers not to wait for the issue of Profits Tax Returns before preparing annual audited accounts. Bookkeeping, financial statements and audit work should therefore run on the company's financial-year cycle rather than start when BIR51 arrives.

In a circular letter, IRD states that where returns are not lodged by the extended due date, estimated assessments will be issued or penalty proceedings instituted. The circular asks tax representatives to remind clients that failing to file returns, or not filing them on time, without reasonable excuse exposes them to the risk of action under section 80 or 82A of the Inland Revenue Ordinance.

## Annual Accounting and Tax Checklist for a Hong Kong Company

1. Keep the accounting records the Companies Ordinance requires, and keep them current throughout the year.
2. Have the directors prepare the financial statements for the financial year.
3. Confirm the audit treatment. A reporting exemption does not remove the audit requirement, and dormant-company treatment depends on the statutory conditions.
4. Start the accounts and audit work without waiting for BIR51 to be issued.
5. When BIR51 arrives, note the issue date. The return is due within one month of that date unless an applicable extension applies.
6. Before relying on additional time, confirm that the Block Extension Scheme or the voluntary e-filing extension applies to the return.
